Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding legal agreement between you ("you", "User") and KISCO LLC, a Delaware limited liability company doing business as Ukisai ("Ukisai", "we", "us", "our"), governing your access to and use of the TrueStay website, mobile experiences, APIs and any related services we make available (collectively, the "Service").

By accessing or using the Service you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Service.

2. Eligibility

The Service is not directed to children. You must be at least 16 years old to use the Service. If you are between 16 and the age of majority in your jurisdiction, you may only use the Service with the involvement of a parent or legal guardian. By using the Service you represent that (a) you meet the age requirement above, (b) you have full legal capacity to enter into these Terms and (c) you are not barred from receiving the Service under the laws of any applicable jurisdiction.

3. The Service

TrueStay is an AI-assisted accommodation discovery and review-analysis tool. You may submit URLs of listings from third-party platforms (such as Airbnb and Booking.com) and we apply proprietary models, prompts, scoring methodologies and ranking heuristics to surface insights about the listing.

The Service is informational only. TrueStay is not a travel agency, tour operator, booking platform or accommodation provider. We do not own, control, sell or rent any property, nor are we party to any reservation, contract or transaction between you and any third-party platform or supplier.

4. Accounts

Certain features require an account. You agree to provide accurate information, to keep your credentials confidential, and to be solely responsible for all activity that occurs under your account. You must promptly notify us at hello@truestay.me of any suspected unauthorised use. We may suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.

5. Subscriptions, Free Trial & Refunds

• Billing. Paid plans are billed via Stripe on a recurring basis (monthly or annually as selected at purchase) and renew automatically until cancelled.
• Free trial. Where offered, the free trial grants temporary access to premium features. You may cancel before the trial ends to avoid being charged.
• No refunds. Except where required by mandatory law, all fees are non-refundable. Cancellation stops future renewals; you retain access until the end of the current billing period and no partial refunds are issued for unused time.
• Price changes. We may change prices for future billing periods on reasonable advance notice. Continued use after the change takes effect constitutes acceptance of the new price.
• Taxes. Fees are exclusive of taxes; you are responsible for any sales, VAT or similar taxes payable in your jurisdiction.

6. Intellectual Property — Ownership of the Service

The Service, including but not limited to all source code, object code, user interfaces, visual design, layouts, animations, illustrations, icons, logos, sounds, copy and editorial text, category taxonomies, AI prompts, prompt chains, scoring algorithms, ranking models, embeddings, training data, datasets, benchmarks, documentation, "look and feel", structure, sequence and organisation, and any improvements, derivatives or feedback-driven updates thereto (collectively, the "Ukisai IP"), is and shall remain the exclusive property of KISCO LLC d/b/a Ukisai, its affiliates and its licensors. The Ukisai IP is protected by copyright, trademark, trade-secret and other intellectual property laws of the United States and other countries.

All rights not expressly granted to you in these Terms are reserved by Ukisai. No title to or ownership of any Ukisai IP is transferred to you under these Terms.

7. Limited Licence to You

Subject to your continuous compliance with these Terms, Ukisai grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service solely for your own personal, non-commercial accommodation research.

This licence does not include any right to: (a) resell, rent, lease, lend, sublicense or otherwise commercially exploit the Service or its outputs; (b) copy, reproduce, distribute, publicly display or create derivative works of the Service; (c) embed, frame or mirror the Service or any portion of it on any other site, application or product; (d) remove, obscure or alter any copyright, trademark or other proprietary notice; or (e) use the Service for the benefit of any third party, including as a service bureau.

8. Prohibited Conduct

You agree that you will not, and will not permit any third party to:

• scrape, crawl, harvest, data-mine or otherwise extract any portion of the Service or its outputs by automated means (including headless browsers and scripted clients), other than as expressly permitted by a separate written agreement with us;
• reverse engineer, decompile, disassemble, decrypt or otherwise attempt to derive the source code, underlying ideas, algorithms, prompts, model weights or trade secrets of the Service;
• use the Service or any output thereof to train, fine-tune, evaluate or benchmark any machine learning model, foundation model or competing service;
• copy, mirror, "clone" or substantially imitate the Service's appearance, workflow or scoring methodology in another product;
• upload, transmit or process any content that is unlawful, infringing, defamatory, malicious or that you do not have the right to submit;
• introduce viruses, trojans, worms, logic bombs, denial-of-service attacks or any other harmful material; probe, scan or test the vulnerability of the Service without our prior written consent;
• use the Service in a manner that violates any applicable law, the terms of any third-party platform (including Airbnb, Booking.com or any payment processor), or the rights of any person; or
• bypass, disable or attempt to circumvent any rate-limit, paywall, authentication, anti-abuse or security feature of the Service.

We may investigate suspected violations and take any action we consider appropriate, including suspending or terminating your access, removing content and cooperating with law enforcement.

9. User Submissions

You retain any pre-existing rights in the URLs, queries, preferences and other content you submit to the Service ("User Submissions"). You grant Ukisai a worldwide, royalty-free, sublicensable and transferable licence to host, store, reproduce, process, analyse, transmit and display User Submissions for the purpose of operating, securing and improving the Service. You represent that you have all rights necessary to grant this licence and that your User Submissions do not infringe any third party's rights.

If you provide feedback, ideas or suggestions about the Service, you grant Ukisai a perpetual, irrevocable, royalty-free licence to use them for any purpose without obligation or compensation.

10. Trademarks

"TrueStay", "Ukisai", "KISCO", and our logos, taglines and trade-dress are trademarks of KISCO LLC. You may not use them without our prior written consent, except for nominative fair use to identify the Service. All other trademarks referenced on the Service are the property of their respective owners; reference to them does not imply endorsement of or affiliation with Ukisai.

11. Copyright Complaints (DMCA)

If you believe that material on the Service infringes your copyright, please send a written notice to our designated agent containing: (a) your signature; (b) identification of the copyrighted work claimed to have been infringed; (c) the location of the allegedly infringing material on the Service; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorised; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorised to act on behalf of the rights owner.

We may, in our discretion, remove allegedly infringing material and terminate the accounts of repeat infringers. Knowingly false notices may result in liability.

12. AI Outputs & Accuracy

The Service relies on large language models, automated scrapers, third-party data feeds and heuristic scoring. Outputs may be incomplete, out-of-date, inaccurate or biased and may differ between identical queries. You are responsible for verifying any information that matters to your booking decision against the source platform and applicable terms. TrueStay outputs are not financial, legal, travel-safety, medical or professional advice.

13. Third-Party Platforms & Links

The Service references and links to third-party platforms, including Airbnb and Booking.com. Ukisai is not affiliated with, endorsed by or sponsored by any of these platforms, and your use of them is governed by their own terms. We are not responsible for any third-party content, pricing, availability or transactions.

14. Affiliate Disclosure

TrueStay participates in affiliate programs, including the Booking.com affiliate program through CJ Affiliate. If you click certain outbound links and complete a qualifying booking, we may earn a commission at no additional cost to you. We do not let affiliate economics determine recommendation order; ranking is driven by the Service's scoring methodology.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, UKISAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR THAT ANY DEFECT WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN SUCH CASES THE EXCLUSIONS ABOVE APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL UKISAI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF UKISAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

UKISAI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID UKISAI FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (USD 100). MULTIPLE CLAIMS DO NOT EXPAND THIS CAP.

17. Indemnification

You agree to indemnify, defend and hold harmless Ukisai and its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your User Submissions; (c) your violation of these Terms or of any law; or (d) your violation of any third-party right.

18. Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately, without notice, if we believe you have breached these Terms, created risk or legal exposure for us, or if we discontinue the Service. On termination, Sections 6 through 17 and Sections 19 through 23 survive.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20. Dispute Resolution

Any dispute, claim or controversy arising out of or relating to the Service or these Terms shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat of arbitration shall be Wilmington, Delaware, and the language shall be English. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Class-action waiver. You and Ukisai agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Mandatory consumer-protection rights in your country of residence (including, where applicable, in the European Economic Area, the United Kingdom or Serbia) remain unaffected and may be enforced in the courts of that country.

21. Changes to the Terms

We may modify these Terms from time to time. The "Last updated" date will reflect the most recent revision. Material changes will be communicated through the Service or by email. Your continued use after the effective date constitutes acceptance of the revised Terms.

22. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy and any in-product notices, constitute the entire agreement between you and Ukisai regarding the Service.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
• No waiver. Our failure to enforce a provision is not a waiver of that provision.
• Assignment. You may not assign these Terms without our prior written consent. We may freely assign these Terms, including in connection with a merger, acquisition or sale of assets.
• Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
• Notices. Notices to us must be sent to hello@truestay.me. We may give notice to you by email, by posting on the Service or by any other reasonable means.
